These Terms of Service (“Terms”) govern your access to and use of the Tribe, including the website, mobile application, and associated community-building features (collectively “Tribe”). Our Terms apply to our users who create and build communities (“Admins”), as well as their community subscribers and users (“Members”).
You must read and agree to our Terms before using Tribe. If you have not already done so, please read and agree to them. By using Tribe, you agree to our Terms. If you do not agree to our Terms, your only option is to stop using Tribe.
If you are creating an account on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to our Terms. In doing so, you agree that our Terms will apply to and bind the entity and that you are acting with full authorization to commit the entity to all obligations and responsibilities outlined in our Terms.

Account And Authentication
To use Tribe, either as an Admin or a Member, you must create an account. We offer several ways to register and log in to make the process as easy as possible, including using Google, Apple, or email authentication.
Account Creation: When you sign up, you can create an account using your email address, or you can choose to sign in through your existing Google or Apple accounts. By creating an account, you agree to provide accurate and up-to-date information. Any false, inaccurate, or incomplete information may result in the suspension or termination of your account.
Eligible Age: You may only open an account to use Tribe if you are at least 16 years of age (or the legal age of consent in your location) and must be able to form a legally binding agreement such as these Terms. If you are not up to the required age, you may only use Tribe if supervised by at least a parent or legal guardian. By using Tribe, you warrant that you meet this age requirement and are able to be bound by our Terms.
Account Security: You are responsible for maintaining the confidentiality of your account credentials, whether you signed up via email or through a third-party service (Google or Apple). Please ensure your login information remains secure, and do not share your credentials with anyone. You agree to notify us immediately if you suspect any unauthorized access to your account.
Authentication via Google or Apple: If you create an account and authenticate using Google or Apple sign-in plugins, you permit us to obtain the information you have on their service – subject to the privacy settings you have on their service.
Account Responsibility: You are solely responsible for all activities that occur under your account. Whether you are an Admin or a Member, it is important to safeguard your account. Tribe will not be liable for any loss or damage resulting from your failure to comply with these security obligations.

Privacy Policy
We collect data from you across your use of Tribe to provide our services, personalize your use, comply with the law, and make improvements for a smooth user experience. The data we collect, including why we collect it, who has access, and any disclosures about how we handle your user data are described in our Privacy Policy. You must review and agree to it in addition to our Terms. By submitting personal data and using Tribe, you consent to our Privacy Policy.

Acceptable Use Policy
To keep Tribe a safe, enjoyable, and productive space for everyone, we have a few guidelines that all users—both Admins and Members—must follow. This Acceptable Use Policy ensures that we can maintain a respectful and positive environment for community building and learning.
Be respectful: Tribe is a place for positive collaboration and growth. Treat everyone with kindness and respect. You must not harass, discriminate, post hate speech, or engage in any form of abuse toward other users.
Discharge your obligations truthfully: Admins must ensure the content and service they offer to Members are as advertised. Your content must meet the standards set out by the industry of your service.
No harmful or illegal activities: Tribe must not be used to promote or engage in illegal activities, including but not limited to (i) fraud, hacking, or unauthorized access to systems; (ii) distribution of malware, viruses, or any harmful software; (iii) activities that violate intellectual property rights or encourage unlawful conduct; and (iv) services that violate any applicable laws or ethical standards.
No spam or misleading content: You agree not to post, distribute, or promote (i) unsolicited commercial messages or advertisements (spamming); (ii) false, misleading, or deceptive content; or (iii) content that impersonates others or misrepresents your identity.
Protect privacy and personal data: Respect the privacy of others. Do not collect or share personal data (such as email addresses, phone numbers, or any other sensitive data) without consent.
No exploitative content: Tribe is a learning and community platform. You must not post any content or material that exploits or abuse a child, incites violence or self-harm, or promotes illegal drug use or similar activities.
Respect intellectual property: Do not share or distribute content (like courses, coaching materials, or media) that you do not own or have the right to share. Respect the intellectual property rights of other users and third parties.
Fair Use of our resources: To ensure the smooth functioning of Tribe for all users, do not engage in activities that could overload or damage our systems. This includes excessive scraping of data, sending large volumes of requests, or disrupting the services for others.
Abide by community guidelines: Individual Admins may have specific community rules governing their community. You must follow these guidelines in conjunction with our Terms.
By using Tribe, you agree to follow this Acceptable Use Policy. Violations of this Acceptable Use Policy may result in suspension or termination of your account.

Our Intellectual Property
Excluding contents from users, all content, features, and functionality on Tribe—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software—are the exclusive property of Reachgoals or its licensors. These materials are protected under Swiss copyright, trademark, and other intellectual property laws, as well as international property regulations.
As a user of Tribe, you are granted a limited, non-exclusive, non-transferable license to access and use Tribe for its intended purposes—building and participating in communities. This license does not grant you ownership of any content or materials on Tribe.
You may not copy, modify, distribute, display, perform, or otherwise use any of our intellectual property without prior written consent from us or our licensors. Unauthorized use of our intellectual property is strictly prohibited and may result in legal action.

User Submissions
Users – both Admins and Members – may create, post, and share a wide range of content, including but not limited to course materials, community discussions, blog posts, comments, media, and other educational or informational resources (collectively, "User Submissions”).
You retain full ownership of the intellectual property rights in your User Submissions. However, by uploading or sharing any content on Tribe, you grant Reachgoals a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, publicly display, perform, adapt, modify, and create derivative works of your content, in any format or medium now known or developed in the future, in connection with the operation, promotion, and improvement of Tribe.You agree that your User Submission:
Does not infringe on the intellectual property, privacy, or any other rights of any third party.
Does not violate any applicable laws, including but not limited to defamation, hate speech, or obscenity.
Is not harmful, fraudulent, or misleading, and does not promote illegal activities or violations of our Acceptable Use Policy.
We may, at our discretion, monitor, review, or remove User Submissions that violate our Terms or are otherwise inappropriate. However, we are not obligated to do so and are not responsible for any User Submissions on Tribe.
By submitting content, you acknowledge and agree that such content is not confidential, and we may use it without providing compensation to you. This license allows us to ensure that User Submissions on Tribe can be made available to the community, integrated into Tribe’s functionality, and utilized to enhance user experience.
For Admins, Tribe has tools to support the management, delivery, and sale of your content. You are responsible for the accuracy, completeness, and quality of your content and agree to ensure it meets our content standards. Any disputes arising from User Submissions remain between you and other users, though we reserve the right to intervene if necessary.

Copyright Infringement Reporting
We do not in any way support users advertising or submitting content that infringe third-party intellectual property rights. We may terminate the accounts of users, including Admins and Members, who infringe on other people’s intellectual property rights.If you believe any content shared on Tribe violates your copyright, please contact us with the relevant details below.

The content shared on Tribe, whether by us, Admins, or Members, is for general informational and educational purposes only. While we strive to ensure the accuracy and usefulness of the information provided, we make no guarantees regarding the completeness, reliability, or accuracy of any content shared on Tribe.
By using Tribe, you acknowledge that any reliance on content provided on Tribe regardless of who submits such content is at your own risk. We do not endorse, guarantee, or take responsibility for the accuracy or reliability of any advice, opinions, statements, or other information shared by users.

Subscriptions and Payment Terms
Admin Subscription Fees: To create and operate any community on Tribe, you are required to pay a monthly subscription fee of €99 per month or any other pricing as may be communicated on the pricing page. For the avoidance of doubt, if an Admin operates multiple communities, each community will incur a separate fee of €99 per month. The subscription fees do not include any taxes or payment provider charges. Admins are responsible for the remittance of any taxes applicable to their earnings on Tribe.
Free Trial: Admins are granted a 14-day free trial, during which their payment method will not be charged. After the trial period ends, the Admin’s payment method will automatically be charged unless they cancel before the trial concludes. You must cancel your subscription before the end of the trial period if you do not wish to continue with your subscription after the trial.
Automatic Renewal: Subscription fees are charged automatically at the beginning of each billing cycle. By subscribing, Admins agree to have their payment method charged at regular monthly intervals without further notice. Admins are responsible for ensuring their payment information is up-to-date to avoid interruptions in service.
Member Payments for Community Services: Members may be required by Admins to pay subscription fees or one-time payments for specific services offered within their communities. Tribe will process these payments on behalf of the Admins, ensuring that the transaction is secure and timely. For the avoidance of doubt, we are merely acting as a payment agent for users. We are not a contract to any agreement between an Admin and a Member.
Admin Earnings: We will remit all earnings collected from Members directly to the Admin’s designated payment method. Admins are responsible for providing accurate payment details. We are not liable for any errors resulting from incorrect information. The withdrawal of earnings may be subject to additional terms, which shall be communicated on the earnings page. We reserve the right to withhold Admin earnings for any suspected breach of our Terms.
Refunds and Cancellations: All subscription fees are non-refundable. Admins can cancel their subscription at any time using the subscription page in their account. There are no refunds offered for any unused period of your subscription. If you cancel your subscription any time before the end of its cycle, you still have access to premium features up until the end of the current cycle. In other words, cancelation takes effect at the end of your current subscription.
Members should consult with individual Admins regarding refunds or cancellations of services within their communities, as Reachgoals acts only as a facilitator for these transactions. We reserve the right to terminate a community without refunds for any breach of our Terms.
Payment Authorization: If you submit your payment method information and initiate a payment – whether Admin fees or community payments – you authorize us and our third-party payment processor, Stripe, to charge the applicable amount from your balance. You also warrant that you have the authority to use the payment method and that it contains sufficient amount to cover your fees. The terms of Stripe shall govern the processing of any payments on Tribe.

App Store Terms
This section applies if you download the Tribe mobile app from either the Google or Apple Play Stores (each an “App Store”). By downloading the Tribe mobile app from an App Store, you agree that:
These Terms are solely between you and us and not with the App Store provider. We are responsible for providing the Tribe mobile app and the content on it, not the App Store provider. If the usage rules in the terms of service of the App Store are stricter than or conflict with our Terms, the usage rules in the terms of service of the App Store shall prevail
The App Store provider has no obligation to offer any maintenance or support services with respect to the Tribe mobile app. We are responsible for any maintenance and support services with respect to the Tribe mobile app.
The App Store provider is not responsible for any warranties, issues, liabilities, and costs applicable to the Tribe mobile app. If the Tribe mobile app fails to conform to any warranties, it shall be our responsibility and not the App Store provider.
We are responsible for any claims you or any third party may have with respect to the Tribe mobile app, including product liability claims, non-conformance to legal requirements claims, consumer protection or similar legislation claims, or intellectual property claims.
The App Store provider is a third-party beneficiary of our Terms, and upon you agreeing to our Terms, the App Store provider shall be able to enforce our Terms against you as a third-party beneficiary.

Termination And Survival Of Terms
These Terms commences upon your creation of an account on Tribe and shall remain until terminated.You may terminate our Terms at any time by simply requesting to close your user account. Likewise, we may also terminate these Terms at any time – for any reason and without liability – in the event that we find you to be in breach of any of the provisions or any applicable law.
Upon termination subject to the above, your right to use Tribe will cease immediately. Any data associated with your account may be deleted, and we are under no obligation to retain or provide access to this information. You may submit an appeal within 14 days of termination by contacting us. Any decision we provide after you appeal shall be final.Please note that certain provisions of these Terms may continue to apply after termination, including but not limited to Intellectual Property, User Submissions, and Disclaimers.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU UNDERSTAND THAT TRIBE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THE AVAILABILITY, ACCURACY, OR COMPLETENESS OF TRIBE, ITS FEATURES, OR ANY CONTENT SHARED BY ADMINS OR MEMBERS. YOUR USE OF TRIBE IS AT YOUR SOLE RISK.
To Admins: WHILE WE PROVIDE YOU WITH THE TOOLS FOR YOU TO BUILD, GROW, AND MANAGE YOUR COMMUNITY, WE DO NOT GUARANTEE SPECIFIC OUTCOMES OR SUCCESS. ANY COURSES, CONTENT, OR COACHING OFFERED THROUGH YOUR COMMUNITY ARE SOLELY YOUR RESPONSIBILITY. WE ARE NOT LIABLE FOR THE ACCURACY, QUALITY, OR LEGALITY OF THE CONTENT YOU PROVIDE.
To Members of communities: AS A MEMBER, YOU ACKNOWLEDGE THAT THE INFORMATION, COURSES, AND/OR COACHING YOU ENGAGE WITH THROUGH TRIBE ARE CREATED AND MANAGED BY INDEPENDENT ADMINS. WE DO NOT ENDORSE OR TAKE RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT PROVIDED BY ADMINS. YOU ARE RESPONSIBLE FOR YOUR PARTICIPATION AND INTERACTION WITH THESE COMMUNITIES. THIS INCLUDES ANY COMMUNITY OPERATED AND CONTROLLED BY US (REACHGOALS) AS ADMINS.TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT TRIBE WILL BE UNINTERRUPTED, SECURE, FREE FROM ERRORS, OR IT WILL OPERATE TO YOUR EXPECTATION.

Liability Limitation
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REACHGOALS, INCLUDING ITS DIRECTORS, AGENTS, EMPLOYEES, AND ANY AFFILIATED INDIVIDUAL OR ENTITY, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES CONCERNING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR ANY INTANGIBLE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF TRIBE, WHETHER AS AN ADMIN OR MEMBER.
IN NO EVENT SHALL REACHGOALS’ TOTAL LIABILITY, FOR ALL CLAIMS RELATED TO THE USE OF TRIBE, EXCEED THE AMOUNT PAID BY YOU (IF ANY) IN THE 6 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY OR A SUM OF €100 (OR THE EQUIVALENCE). WE ARE NOT RESPONSIBLE FOR ANY ISSUES ARISING FROM THIRD-PARTY SERVICES, INTEGRATIONS, OR CONTENT PROVIDED BY ADMINS OR MEMBERS.THIS LIMITATION OF LIABILITY APPLIES TO ANY AND ALL CLAIMS, WHETHER BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO CERTAIN PARTS OF THIS LIMITATION MAY NOT APPLY TO YOU.

Indemnity
You hereby agree to indemnify, defend, and hold harmless Reachgoals, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

Disputes Between Admins And Members
We have no obligation to take responsibility for any disputes that arise between Admins and Members. Any issues or disagreements related to services, content, or interactions within a community should be resolved directly between the involved parties.
While we may, in our discretion, offer guidance or attempt to mediate a dispute, we are not obligated to do so. We are not liable for any claims, losses, or damages resulting from disputes between Admins and Members. Admins and Members agree to release us from any claims or liability arising from such disputes.

Disputes With Us
These Terms and any disputes between a user and Reachgoals arising out of or related to their use of Tribe will be governed by the laws of Switzerland, without regard to conflict of law principles.
In the event of any disagreement or dispute, we encourage the user to first reach out to us directly at info@tribe.de to resolve matters informally. If a resolution cannot be reached, the dispute will be referred to the competent courts of Switzerland, specifically in the jurisdiction of Schiers, unless otherwise required by applicable law. We may offer mediation or arbitration as an alternative dispute resolution method.

Our website and app may contain links to third-party websites, services, or resources that are not owned or controlled by us. These links are provided for your convenience, but we do not endorse or assume responsibility for any third-party content, products, or services.
When you click on a third-party link, you will be directed to their website or service, which operates under its own terms and privacy policies. Reachgoals is not liable for any loss or damage that may arise from your use of third-party sites or services.

Changes To Our Terms
We may update or modify our Terms from time to time to reflect changes in our services, legal obligations, or other business needs. When we make significant changes to our Terms, we will notify you through a notice on our website and app and/or your account email address. The new updates shall take effect upon us changing the Effective Date at the top of these Terms.
It is your responsibility to review our updated Terms.Your continued use of Tribe after any changes have been made to our Terms signifies your acceptance of the new Terms. If you do not agree with the updated Terms, you should discontinue using Tribe.

Sanctions And Export Law
By using Tribe, you agree to comply with all applicable export control and trade sanctions laws and regulations, including those administered by Switzerland, the European Union, the United States, and other relevant jurisdictions.
You represent and warrant that you are not:
Located in, under the control of, or a national or resident of any country or region subject to international trade sanctions or export restrictions, including those designated by the United Nations, the EU, Switzerland, or the U.S. government.
Listed on any government-issued sanctions list, including the U.S. Treasury Department's list of Specially Designated Nationals (SDN) or similar lists maintained by other authorities.
You must not use Tribe to engage in or facilitate any activity that would violate sanctions or export laws. Violation of these laws or regulations may result in immediate suspension or termination of your account.

General Terms
Entire Agreement: Our Terms, along with our Privacy Policy and any applicable additional agreements or policies referenced herein on existing on our website and app, constitute the entire agreement between you and Reachgoals concerning Tribe. They supersede any prior agreements, discussions, or understandings, whether oral or written.
Severability: If any provision of our Terms is found to be unenforceable or invalid, such a provision shall be severable from our Terms, and the remaining enforceable and valid provisions shall continue to apply. The severable provision may be replaced with a provision that most closely aligns with the intent of the severed provision.
No Waiver: Any failure or delay to enforce any right or provision in our Terms shall not be considered a waiver of that right or provision later or on similar violations unless we acknowledge and agree to the waiver in writing. Any waiver of a breach or default under our Terms shall not be deemed a waiver of any subsequent breach or default.
Assignment: No user (Admins and Members) may assign or transfer their rights or obligations under our Terms to any third party without our prior written consent. The rights a user has over their account terminate upon their death. On the other hand, we may freely assign or transfer our rights and obligations under our Terms without restriction.
Force Majeure: If any event prevents us from discharging our obligations to you, such as natural disasters, acts of government, internet breakdowns, power outages, or other disruptions, we shall not be held liable for any liabilities that delay or non-performance.
Electronic Communications: By using Tribe, you consent to receive electronic communications from Reachgoals, whether via email, app notifications, or messages. You agree that all agreements, notices, disclosures, and other communications provided electronically in connection with Tribe satisfy any legal requirement that such communications be in writing.
No Partnership: Your use of Tribe, especially as an Admin, does not create any partnership, agency, joint venture, or any other fiduciary relationship between you and Reachgoals. You may not represent us in any manner except where we agree to it in writing.
